Many provisions of the civil legislation in force of the Russian Federation and foreign countries have facultative character and this provides the parties with corresponding opportunity to specify, at their absolute discretion, some or other provisions, to change certain rules being set forth in applicable law.
The lawyer's mission, at this stage, is to offer to the company head a certain scheme for execution of economic transactions, which, in the first instance, corresponds to applicable legislation and satisfies the essence of scheduled transactions, and, in the second place, may be considered optimal in the context of tax assessment and mitigation of possible risks.
Preparation of the contract (contracts) text, participation of the lawyer in negotiations with a contracting party as regards to agreement of terms and conditions of the contract.
In general, a lot of disputes in relation to some or other trade details as well as specific obligations of the parties appear at the stage of adjustment of the contract text.
The lawyer's mission, at this stage, is to prevent from collapse of a deal due to the parties failure to come to settlement with respect to some separate terms and provisions of such a deal, and to elaborate the terms of the contract which are acceptable for a contracting party and which may meet the Client's interests as well as to estimate, in the context of the Client's interests, some or other offers of contracting parties.
Preparation of various documents which may be considered necessary for transaction implementation.
Preparation of addendum agreements, notices, deeds and any other documents. If the state registration of the deal is necessary, then we may arrange for preparation and submission of necessary documents to registration authority.
Due diligence of all documents under the contract after transaction closing.
In the course of performance of large contracts they often make mistakes in execution of documents because employees may forget or miss one or another document.
Such faults may result in future in some challenges at the stage of proving of some or other conditions in the court, as well as at the stage of inspections being made by tax and any other governmental authorities, and when performing voluntary and compulsory audit. Usually, when one may reveal such faults on timely basis, the said faults may be corrected with reasonable facility. With the course of time such option may be lost.
That is why we recommend to perform due diligence of documents immediately after completion of a large contract (or discrete milestone of work).
